Advertising Agreement

This Advertising Agreement ("Agreement") is entered into by and between Morasha Olami Inc. , a company registered in the United States with its principal place of business at 555 Madison Ave, Lakewood, NJ 08701, USA ("we," "us," or "our"), and the advertiser ("you" or "Advertiser"). This Agreement governs the terms and conditions under which advertisements ("Ads") will be displayed on our website, olamis.org (the "Site").

By submitting an advertisement to us or using our advertising services, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not submit Ads or use our advertising services.

2. Scope of Services

You acknowledge that:

• We do not guarantee specific placement or positioning of your Ads on the Site.
• We may modify the layout, design, or functionality of the Site at any time, which may affect how your Ads are displayed.

3. Advertiser Responsibilities

You agree to:

1. Provide accurate, truthful, and complete information about your business, products, or services in your Ads.
2. Ensure that your Ads comply with all applicable laws, regulations, and industry standards, including but not limited to those related to consumer protection, intellectual property, and data privacy.
3. Obtain all necessary permissions, licenses, and consents required to display your Ads and link them to your website or landing page.
4. Not include any content in your Ads that is misleading, deceptive, offensive, defamatory, or otherwise inappropriate.
5. Maintain a functional and secure website or landing page linked from your Ads.

4. Prohibited Content

You agree that your Ads will not contain or promote the following:

• Illegal activities or products
• Hate speech, discrimination, or harassment
• Violence, threats, or harmful behavior
• Pornography or sexually explicit material
• Tobacco, alcohol, drugs, or weapons
• False or misleading claims
• Any other content that we deem inappropriate or inconsistent with our values

We reserve the right to review and approve all Ads before they are published. If we determine that your Ads violate this section, we may reject or remove them without notice.

5. Payment Terms

1. Fees: You agree to pay all fees associated with your advertising campaign as specified in your advertising order or invoice. Fees are based on factors such as ad placement, impressions, clicks, or other metrics agreed upon in writing.
2. Billing: Invoices will be issued according to the billing schedule agreed upon during the campaign setup. Payment is due within [insert number] days of receiving the invoice unless otherwise stated.

8. Disclaimer of Warranties

The advertising services provided under this Agreement are offered "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee:

• The effectiveness or success of your Ads
• The accuracy, reliability, or timeliness of ad performance data
• That the Site will be free from errors, interruptions, or downtime

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, Morasha Olami Inc. and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our advertising services. Our total liability for any claims related to this Agreement will not exceed the total amount paid by you for the advertising services during the preceding six months.

10. Termination

Either party may terminate this Agreement at any time by providing written notice to the other party. Upon termination:

This Agreement is governed by and construed in accordance with the laws of the State of New Jersey, USA, without regard to its conflict of law principles. Any disputes arising out of or related to this Agreement will be resolved exclusively in the state or federal courts located in New Jersey.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and Morasha Olami Inc. regarding your use of our advertising services and supersedes any prior agreements or understandings. If any provision of this Agreement is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

13. Modifications

We reserve the right to update or modify this Agreement at any time. If we make material changes, we will notify you by posting the updated Agreement on our Site and updating the "Last Updated" date. Your continued use of our advertising services after any changes constitutes your acceptance of the revised Agreement.
